Terms of Service

These Terms of Service (the "Terms") govern your use of the paycancel browser extension and any companion website (collectively, the "Service"). The Service is operated by UNKRYPT, a sole proprietorship organized in Japan, with Ryohei Mizuno (水野亮平) as its representative, operating under the trade name "paycancel" (the "Operator", "we", "us"). The Terms are intended to be balanced and to remain enforceable under the consumer-protection laws of the jurisdictions in which we operate; where any clause would be unenforceable under applicable mandatory law, that clause shall be modified to the minimum extent necessary, and the remainder shall continue in effect.

1. Acceptance

By installing or using the Service, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

The Service records subscription payments detected on websites you visit and provides cancellation guidance. The Service is informational and assistive only; it does not act as your agent. All clicks, form submissions, and final cancellation actions are performed by you.

3. Your Account and Identity

The Service does not require account creation or login. Optional features (paycancel Encrypted Sync, Pioneer Mode, Pro plan) use pseudonymous identifiers as described in the Privacy Policy. You are responsible for safeguarding any local credentials, passkeys, and recovery codes generated on your device.

4. User Responsibilities

1. Take final responsibility for cancellation outcomes. You must verify cancellation completion on the official service and on your bank or card statement.
2. Use the Service in compliance with the terms of service of each website you cancel through, and with applicable law.
3. Do not use the Service on accounts you are not authorized to operate.
4. Safeguard your PES recovery code. If you lose both your passkey and your recovery code, your encrypted cloud data is unrecoverable. The Operator cannot decrypt it for you.
5. Do not provide false information that would cause the Operator or other users to receive incorrect Procedure data.

5. Prohibited Conduct

• Reverse engineer, decompile, disassemble, or modify the Service, except (a) to the limited extent permitted by mandatory law (e.g., EU Software Directive Article 6 on interoperability), or (b) for bona-fide security research disclosed to [email protected] under reasonable coordinated-disclosure terms.
• Resell, sublicense, or redistribute the Service or its Procedure data, in whole or in part, except as expressly permitted in writing by the Operator.
• Use the Service to send spam, automate attacks against third-party services, or otherwise disrupt the operation of any service.
• Use Procedure data, Procedure manifests, or any portion of the Service to train commercial AI or machine-learning models without the Operator's prior written permission.
• Violate the privacy of others, including by using the Service on someone else's device without their informed consent.
• Tamper with cryptographic signatures, license tokens, or anti-abuse mechanisms.
• Impersonate the Operator or another user, including by attempting to forge Operator-Verified contributions.

6. Plans, Billing, and Cancellation

6.1 Free Plan

Free of charge. The Free plan supports up to three (3) simultaneously active subscriptions tracked in the Service. All other features — including paycancel Encrypted Sync, cancellation evidence, Pioneer Mode, telemetry opt-in, and Skeleton-based cancellation guidance — are available on the Free plan without restriction.

6.2 Pro Plan

4.00 USD per month (excl. tax) or 40.00 USD per year (excl. tax · equivalent to ten months — saves two months). Pricing is in US Dollars and exclusive of tax; Stripe will display equivalent amounts in your local currency and add applicable consumption tax / VAT at checkout. The Pro plan lifts the active-subscription cap to unlimited. Billing is processed by Stripe; the Operator does not store credit-card information.

6.3 How to Cancel

You may cancel the Pro plan at any time through the Stripe Customer Portal link provided in the Service. Cancellation takes effect at the end of the then-current billing period.

6.4 Refunds

We do not provide pro-rated refunds for partial periods, except where required by mandatory law:

• EU / UK consumers: 14-day right of withdrawal from the date of purchase. Under Article 16(m) of the EU Consumer Rights Directive the right may not apply once you actively use digital services with explicit prior consent; we will not invoke this exception during the first 14 days unless you have generated substantive operator value (defined as: using PES sync to upload more than 1 MB of ciphertext, or generating more than 5 cancellation evidence files).
• Japan: 特定商取引法に基づく表記 is provided on the operator's website. Statutory cooling-off does not generally apply to online digital subscriptions, but we honor refund requests in good faith for purchases made by mistake and reported within 7 days.

6.5 Price Changes

Material price changes are notified at least 30 days in advance, and you may cancel before the change takes effect.

7. Service Availability

The Service is provided on an "as available" basis. We do not commit to a specific uptime percentage. We may perform maintenance, deploy updates, or temporarily suspend parts of the Service. Where reasonably practicable we will provide advance notice. We are not liable for downtime caused by force majeure (Section 13).

8. Procedure Data, Updates, and Skeleton Fallback

Procedure JSON definitions are kept current through Replay-Driven Authoring. Websites change; a Procedure may stop working at any time. The Service falls back to (1) the 388-service Skeleton catalog of textual cancellation guidance included with the Service, and (2) synonym-based heuristics on the live page. The Operator does not guarantee that any specific service can be cancelled through the Service. Treat any cancellation as final only after the official service confirms.

9. Intellectual Property

1. Operator's IP. The source code, design, brand assets, Skeleton catalog, Procedure JSON definitions, accompanying documentation, and the Service as a whole are owned by the Operator (and its licensors). All rights reserved. No license is granted except as expressly stated. The Service is not open source; the absence of a public repository is intentional.
2. Your data. You retain ownership of data you create using the Service (subscriptions, history, evidence, settings, recovery code). The Operator merely facilitates its storage and (if you opt in) its encrypted sync.
3. Anonymous contributions. Privacy Policy Section 5 describes the limited, anonymized derivatives you license to the Operator when you opt in to Pioneer Mode. This license does not extend to plaintext personal data, because none leaves your device.
4. Feedback. Suggestions and ideas you send the Operator may be used by the Operator without obligation to you.

10. Termination and Suspension

10.1 Termination by you

You may stop using the Service at any time by uninstalling the Extension. Subscription cancellation is governed by Section 6.3.

10.2 Termination or suspension by the Operator

We may suspend or terminate your access to specific paid or cloud features (PES, Pro features) if we have a good-faith reason to believe you have materially breached these Terms. Where reasonably possible we will give you advance notice and an opportunity to cure. Free, local-only features will not be remotely disabled.

10.3 Effect of termination

Upon termination of the Pro plan, the active-subscription cap reverts to three (3). Termination does not affect rights or obligations that have already accrued, including refund rights under Section 6.4.

11. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. The Operator does not warrant that any specific subscription can be cancelled through the Service, that any cancellation will succeed or be free of dark-pattern friction, that cancellation evidence will be accepted as proof in any dispute, that Procedure data is up-to-date, or that the Service will be uninterrupted, error-free, or free of vulnerabilities. You must verify cancellation completion on the official service site and on your bank or card statement.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

1. The Operator is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, data (other than ciphertext we are technically able to restore), goodwill, or business opportunity.
2. The Operator's total aggregate liability under these Terms is limited to the greater of (a) the total Pro fees you paid to the Operator in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 50.
3. Nothing in this Section excludes liability that cannot be excluded by mandatory law, including liability for fraud, willful misconduct, gross negligence, death or personal injury caused by the Operator's negligence, or infringement of statutory consumer rights (in Japan, this includes liability arising from intentional or grossly-negligent acts under 消費者契約法 第 8 条; in the EU, mandatory consumer-protection provisions; in California, statutory consumer rights).

13. Force Majeure

Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including acts of war, terrorism, civil disorder, natural disaster, pandemic, governmental order, internet or power outage, denial-of-service attack, or failure of a sub-processor whose service the Operator has reasonably contracted for.

14. Indemnification

You agree to defend and indemnify the Operator and its officers and contractors from any third-party claim arising from your use of the Service in violation of these Terms or applicable law, including Prohibited Conduct under Section 5. The Operator will (a) promptly notify you, (b) give you reasonable control of the defense (subject to our right to participate at our expense), and (c) reasonably cooperate.

15. Changes to These Terms

Material changes are notified at least 30 days in advance via the Extension UI or email. For changes that materially reduce your rights, your continued use after the effective date constitutes acceptance; if you do not accept, you may cancel any paid plan with a pro-rated refund of the unused portion of the current billing period (this is in addition to mandatory statutory withdrawal rights). Non-material changes take effect immediately.

16. Dispute Resolution

Before initiating formal proceedings, you and the Operator agree to attempt good-faith resolution by writing to the other party (the Operator at [email protected]) and allowing 30 days for response. This requirement does not bar emergency injunctive relief or any consumer's right to use statutory complaint mechanisms.

17. Governing Law and Venue

• Users residing in Japan: Japanese law, with the Tokyo District Court as exclusive first-instance jurisdiction. This does not deprive any consumer of mandatory protections under 消費者契約法 or 特定商取引法.
• Users residing in the EU or UK: the mandatory consumer-protection law of your country of habitual residence applies; otherwise the law of England and Wales applies, with disputes in London courts.
• Users residing in the United States: the law of the State of California (excluding conflict-of-laws rules), with disputes in San Francisco County, California, except where a consumer's right to bring a small-claims action in their home jurisdiction is preserved.
• All other jurisdictions: the law of England and Wales, with arbitration under the LCIA Rules seated in London (in English). This does not deprive any consumer of mandatory local protections.

18. Severability and Entire Agreement

If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Operator regarding the Service.

19. Assignment

You may not assign or transfer your rights under these Terms without the Operator's prior written consent. The Operator may assign these Terms (in whole or in part) to a successor entity in connection with a merger, acquisition, or sale of assets, provided that the successor agrees to be bound by these Terms.

20. No Waiver

A failure to enforce any provision is not a waiver of the right to enforce it later.
